Zensho Holdings Co., Ltd. (the "Company") hereby announces that, at a meeting of the Audit & Supervisory Committee held on May 8, 2026, the Company resolved to change the certified public accountants, etc. who perform audit certifications pursuant to Article 193-2, Paragraphs 1 and 2 of the Financial Instruments and Exchange Act.

In addition, the Company plans to resolve, at a meeting of the Board of Directors scheduled to be held on May 12, 2026, to submit the proposal entitled "Appointment of Accounting Auditor" to the 44th Annual General Meeting of Shareholders scheduled to be held on June 26, 2026, as outlined below.
